Senior Corporate Legal Counsel (Hybrid)

Full-time, Utrecht, Netherlands

BCD Travel is looking to immediately hire an experienced Dutch lawyer with a background in international corporate law. The primary focus of this position will be to serve as the lead attorney responsible for global corporate governance, compliance initiatives, legal policies, M&A, and transactional activities on behalf of the BCD Travel Group of companies. This individual will be expected to interact with the shareholder’s management office, BCD Travel’s senior executives, Finance, Tax, Accounting, Compliance, Sustainability, and other members of the Legal team. The position will report to the General Counsel.  

The position may be virtual but requires at least one day each week in BCD Travel’s Utrecht office.

As a Senior Corporate Legal Counsel, you will

• Manage day-to-day corporate governance matters for all BCD Group companies, in all regions, improving and creating internal processes to drive consistency and efficiency globally
• Draft, review, and negotiate various corporate documents, including non-disclosure agreements, powers of attorney, minutes of meetings, incorporation, liquidation, mergers and acquisition of companies, business transfer agreements, intra-group agreements, advising on corporate reorganization projects, special projects, etc
• Manage UBO and KYC activity with BCD Travel’s shareholder’s office
• Oversee compliance, including keeping track of new legislation and mandatory filings in each country
• Supervise strategic projects, including mergers and acquisitions, strategic alliances, equity investments, and joint ventures
• Manage the global corporate governance team consisting of one attorney and two corporate paralegals

About you

• Master’s degree in law (Dutch Law preferably, with a focus on corporate law) or equivalent experience
• International experience with exposure to different jurisdictions and legal systems
• Extensive experience in a law firm and/or in-house law department
• Experience with corporate governance, compliance, contract law, and M&A required; Experience in competition law, employment law, and commercial transactions, preferred
• Must be fluent in Dutch and English, with excellent written and verbal communication skills
• Must have a business and customer-service-oriented approach to practicing law with an eye toward practical application
